Terms of Service for Digital Diamond AI

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and ACGShop LLC, doing business under the name Digital Diamond LLC ("Company", "we", "us", or "our"), concerning your access to and use of all products, services, content, and technology made available through the Digital Diamond AI platform (collectively, the "Services"). 

1. Acceptance of Terms 

By accessing our website, purchasing our services, or otherwise engaging with our platform, you represent that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not use or access the Services. 

2. Scope of Services 

The Company provides AI automation solutions, including but not limited to the design, configuration, and deployment of custom artificial intelligence systems for customer service, sales automation, appointment scheduling, lead generation, data flow automation, and strategic AI consulting. The scope, features, and duration of each service may vary based on individual client needs and shall be subject to the express terms of the executed agreement or service invoice. 

3. Modifications to Terms and Services 

The Company reserves the right to revise, amend, or update these Terms at any time and for any reason. Modifications will be effective immediately upon posting to the Company website or communication via email. Continued use of the Services following such modifications shall constitute your acceptance of the revised Terms. 

4. Fees and Payment Terms

 All fees for Services shall be outlined in the applicable proposal, invoice, or payment link. We accept payment via Stripe. For ongoing services or subscription-based plans, payment will be due in accordance with the billing schedule provided, with recurring payments automatically charged unless cancelled in writing with at least seven (7) calendar days' notice before the next billing date. You agree to pay all charges incurred in connection with your use of the Services. 

5. Refund Policy

All purchases made through Digital Diamond AI are for customized, labor-intensive digital services. As such, we do not offer refunds once work has commenced.

Refunds are issued solely at the discretion of the Company, and only if no work has started on the requested service or automation setup. Once any part of your project has begun, all payments are considered final and non-refundable.

To request a refund before work has started, please contact us at [email protected]. Any chargebacks initiated without first contacting us may result in immediate service termination and future access restrictions.

6. Ownership and Intellectual Property Rights 

All systems, written content, automation flows, prompts, code, tools, templates, documentation, and AI configurations created by the Company remain the sole intellectual property of Digital Diamond AI unless explicitly transferred in writing. You are granted a limited, non-transferable, non-exclusive license to use the deliverables solely for your business operations. You shall not duplicate, sublicense, resell, redistribute, or otherwise exploit the deliverables for commercial use. 

7. Confidentiality 

You agree to treat all materials, methods, prompts, and communications from the Company as confidential. Any unauthorized sharing or disclosure shall constitute a breach of these Terms and may result in legal action. 

8. No Warranty or Guarantee of Results 

While we strive to deliver impactful automation solutions, we make no representations or warranties regarding the success, performance, or profitability of any Services. Outcomes vary based on numerous factors, including business implementation, market conditions, and user behavior. Your use of the Services is entirely at your own risk.

9. Client Responsibilities 

You agree to provide all necessary information, access credentials, documentation, and timely feedback required for us to perform the Services. Failure to do so may delay project timelines or impair results, for which we bear no responsibility. 

10. Limitation of Liability 

To the maximum extent permitted by law, in no event shall Digital Diamond AI, its members, affiliates, employees, or contractors be liable for any indirect, consequential, incidental, or punitive damages arising out of or relating to your use of the Services. 

11. Indemnification 

You agree to indemnify, defend, and hold harmless Digital Diamond AI and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use or misuse of the Services or breach of these Terms. 

12. Governing Law and Jurisdiction 

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts located within San Bernardino County, California. 

13. Dispute Resolution 

Before initiating formal legal action, you agree to attempt to resolve any dispute through informal negotiations with the Company. All communication regarding disputes shall be directed to [email protected].
